Each evaluation request is reviewed before download information is returned. Please make sure that information about you and your company is correct**. After your request is reviewed and verified, you will receive a return email with evaluation download information, typically within one business day.

** Email addresses must be valid and represent the company and/or individual registering. Please note that generic email addresses (e.g., @hotmail, @yahoo, @msn, @gmail etc.) will be rejected.

SOFTWARE EVALUATION LICENSE AGREEMENT

EVALUATION: For purposes of evaluation only, Communication Horizons LLC (Horizons) grants Licensee a License to install the selected software on up to 2 (two) servers or workstations for a period of 30 days. After this period, Licensee agrees to delete all copies of Software in all forms, as well as supporting documentation.

TITLE: Licensee agrees that ownership of, and title to, Software and all copies in all forms are the property of Horizons. Licensee may not transfer or assign Software and/or this Agreement to another party without the prior written consent of Horizons.

NO MODIFICATION; NO REVERSE ENGINEERING: Licensee agrees not to modify, reverse engineer, reverse compile, or disassemble Software or assist someone in doing so.

IMPORT/EXPORT RESTRICTIONS: Licensee agrees not to import or export Software or accompanying documentation (or any copies thereof) in violation of any applicable laws or regulations of the U.S. or of the country to which it is being imported or exported. Licensee agrees to indemnify Horizons from liability if Licensee violates any such laws or regulations.

TERMINATION: This license will expire sixty (60) days from the date Software is received, unless terminated earlier. Licensee may terminate License at any time by destroying Software and all copies in all forms, as well as supporting documentation. It will also terminate immediately if Licensee fails to comply with any term or condition of this Agreement. Upon termination Licensee agrees to destroy Software and all copies in all forms, as well as supporting documentation. If requested by Horizons, Licensee agrees to inform Horizons of such in writing.

NO WARRANTY: To the maximum extent permitted by applicable law, Horizons disclaims all warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with regard to Software, and the provision of or failure to provide support services. The entire risk arising out of use or performance of Software remains with Licensee.

LIMITATION OF LIABILITY: Licensee agrees to hold Horizons harmless for damages arising from the use of Software or any other damages, including (though not limited to) lost profits or data, special, incidental, consequential or other damages or claims. Regardless of the form of the damage or claim, the total liability Horizons will have to Licensee or any other person will be limited to the amount actually paid by Licensee for Software.

GOVERNING LAW: This License Agreement shall be governed by the laws of the State of Connecticut and Licensee agrees to be subject to personal jurisdiction in Connecticut for the purpose of enforcing the provisions of this Agreement.

ENTIRE AGREEMENT: This License Agreement sets forth the entire agreement between Licensee and Horizons, and may be amended only in a writing signed by both Horizons and Licensee. In the event any provision of this License Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not be affected or impaired in any way
